Vendor Terms and Conditions

These Vendor Terms and Conditions (“Agreement”) are entered into by and between AI Media Limited (“Company”) and the vendor (“Vendor”) participating in the KenteTV Market multi-vendor platform (“Platform”). This Agreement governs the Vendor’s access to and use of the Platform to list, promote, and sell products or services to customers. By registering as a Vendor on the Platform, you agree to be bound by these terms and conditions.

1. Registration and Account

1.1 Vendor Registration: In order to become a Vendor on the Platform, you must complete the registration process and provide accurate, complete, and up-to-date information. You agree to maintain the accuracy of your registration information.

1.2 Account Security: You are responsible for maintaining the confidentiality and security of your account login information and for all activities occurring under your account. You agree to notify us immediately of any unauthorized use or suspected security breaches.

2. Vendor Obligations

2.1 Product Listings: You agree to list only products or services that you are legally authorized to sell and that meet all applicable legal requirements. You are solely responsible for the quality, legality, and safety of the products or services you offer.

2.2 Pricing: You are responsible for setting and maintaining accurate and competitive prices for your products or services. You must comply with the pricing and payment policies set forth by the Company.

2.3 Order Fulfilment: You must fulfil orders in a timely manner and ensure that the products or services meet the standards outlined in your listings.

2.4 Customer Service: You are responsible for providing excellent customer service, including responding promptly to customer inquiries and resolving any customer issues or disputes.

2.5 Reporting Issues: Complaints, disputes, or issues related to orders must be reported to the Company through the platform.

2.6 Resolution Process: Upon receiving a customer complaint or dispute, the Company will review and evaluate the matter. The Company will then forward the complaint to the Vendor for resolution. The Vendor is expected to address the complaint in a timely and satisfactory manner. Failure to do so may result in account suspension or termination for the Vendor.

2.7 Shipping and Delivery: If applicable, you must provide accurate shipping and delivery information, including shipping costs and delivery times.

2.8 Compliance with Laws: You agree to comply with all applicable laws and regulations, including but not limited to those related to product safety, advertising, labelling, and data protection.

3. Payment and Fees

3.1 Commission: The Company may charge a commission on each sale made through the Platform. A commission rate of 15% will be included in the total purchase price of the Buyer’s order.

3.2 Payment Processing: Payments for products or services sold through the Platform will be processed by the Company, and you agree to adhere to the payment and disbursement policies established by the Company.

3.3 Threshold for Vendors: Vendors are eligible to receive payments once their account balance reaches a minimum threshold of GHS 100. Payment processing and disbursement to vendors will occur within 5 working days of reaching the payment threshold.

4. Termination

4.1 Termination by Vendor: You may terminate your Vendor account at any time by providing written notice to the Company. Any outstanding obligations and pending orders must be fulfilled and resolved before termination.

4.2 Termination by Company: The Company reserves the right to terminate or suspend your Vendor account, with or without notice, for any violation of this Agreement, illegal activity, or any other reason deemed necessary by the Company.

5. Intellectual Property

5.1 Ownership: You retain ownership of all intellectual property rights related to your products, but you grant the Company a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your product listings on the Platform.

6. Confidentiality

Both parties agree to keep confidential any non-public information they acquire about the other party during the course of this Agreement.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Ghana.

8. Changes to Terms and Conditions

The Company reserves the right to update or modify these Vendor Terms and Conditions at any time. Vendor will be notified of any changes, and continued use of the Platform constitutes acceptance of the revised terms.

9. Entire Agreement

This Agreement represents the entire understanding between the parties regarding Vendor’s use of the Platform and supersedes any prior agreements or representations.

By registering as a Vendor on the Platform, you acknowledge that you have read, understood, and agreed to these Vendor Terms and Conditions.
